BETWEEN BETA-I, ASSOCIATION FOR THE PROMOTION OF INNOVATION AND ENTREPRENEURSHIP, BASED IN RUA PRINCESA MARIA BENEDICTA, N. 1, 1. º E, TORRES VEDRAS, PORTUGAL, CORPORATE NUMBER 509 483 445, HEREINAFTER CALLED “BETA-I” AND “ENTREPRENEUR”;

BETA-I is an association that aims to promote innovation and development in communities, organizations and individuals, to encourage new models of entrepreneurship, through consultancy and technical advice and management, as well as to contribute to the creation and consolidation of sustainable projects in the areas of information technology and communications, creative industries, social economy and innovation management, energy and health;

  • In furtherance of its purpose, as a startup accelerator, BETA-I conducts job training, coaching, and provides advice and technical advice and management to a set of individuals and/or legal persons, including the ENTREPRENEUR, to promote the development of the projects designed by them, through programs such as the Lisbon Challenge;
  • The business model of BETA-I is based on soliciting sponsorships that support its business, in order to minimize the cost for entrepreneurs, as well as on the collection of symbolic values for events and programs.
  • The ENTREPRENEUR understands that participation in the Lisbon Challenge will bring value to its project, business model, team alignment, investors & mentors meetings, among other advantages.

Program participants are responsible for covering all their expenses not directly related to the program.

This Agreement is governed by the following terms:

Object

By this Agreement, the ENTREPRENEUR agrees to participate in the Lisbon Challenge program. BETA-I undertakes to organize that program.

This Agreement shall not have the effect of constitution of any partnership, corporation and/or other group or special association between the BETA-I and the ENTREPRENEUR, nor does it include any agency relationship, commission or any other commercial cooperation agreement.

Beta-i Obligations

In order to contribute to the development of the ENTREPRENEUR’S project and thereby facilitate its implementation and potential for success with customers and/or investors, BETA-I undertakes to help the ENTREPRENEUR during the duration of the Lisbon Challenge program with:

  • training sessions, coaching and mentoring with experienced executives;
  • networking opportunities with mentors and investors;
  • perks and discounts on services offered by the sponsors and partners of the Lisbon Challenge program, subject to the conditions imposed by these sponsors and partners;
  • organizing and promoting the Demo Days, where the ENTREPRENEUR will have the opportunity to meet potential investors.

Entrepreneur Obligations & Payment

In pursuing the object of this Agreement, the ENTREPRENEUR agrees to:

  • Participate and attend the Lisbon Challenge program with a founding ENTREPRENEUR
  • Participate in the activities proposed by BETA-I under the Lisbon Challenge program in accordance with the schedule delivered;
  • Choose Beta-i as Ignition Partners for Portugal Ventures in case the ENTREPRENEUR raises investment from any Portugal Ventures program.
  • Provide feedback at the end of each session, and at least once after the program;
  • Provide information about fundraising, jobs created and general business development for up to 3 years after the end of the program.
  • Refer Beta-i and the Lisbon Challenge acceleration program in the project’s marketing materials;
  • Authorize Beta-i to use the ENTREPRENEUR name and project name in promotional materials of the Lisbon Challenge program and other Beta-i initiatives.
  • Pay Beta-i, before the start of the program, the value of 200€ per participant.

Agree not to participate in the Program in any manner that might infringe any third-party proprietary, intellectual property, industrial property or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligation.

Agree BETA-I can collect their personal information for purposes of managing the Program.

Intelectual Property

All intellectual property and industrial property rights that belong to the ENTREPRENEUR will remain with the ENTREPRENEUR.

The ENTREPRENEUR grants BETA-I permission to use, copy, modify, distribute, and publicly display their program submission for any purpose, including future promotional, marketing and publicity purposes in any media worldwide without notice and without any fee being paid by or to the ENTREPRENEUR, except where prohibited by law, and unless otherwise advised by the ENTREPRENEUR.

BETA-I will not be liable for any intellectual property infringement, misuse or plagiarism by another ENTREPRENEUR in the Program and reserves the right, at any stage, to disqualify any ENTREPRENEUR if it believes it has violated intellectual or industrial property rights of another ENTREPRENEUR.

Exclusions and Limitations

It is expressly forbidden for Parties to cede their contractual positions to third parties without the prior consent of the other Party.

Confidentiality

The Parties undertake to maintain strict confidentiality regarding the content of all information to which they had or will have access under this Agreement, including �?intellectual property and industrial property , even after termination of the same, except to the extent strictly necessary for the performance of the same and BETA-I, as is strictly necessary for the dissemination and promotion of its activities.
